Terms of Service
These Terms of Service ("Terms") form a legal agreement between you and Altauri, Inc. ("Altauri," "we," "us," or "our") and govern your access to and use of Echoes, including our website, mobile application, and related services (collectively, the "Services").
By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old, or the age of majority where you live, to create an Echoes account unless we explicitly permit otherwise. If you use Echoes on behalf of another person or invite another person to participate, you represent that you have authority to do so and that you will comply with these Terms.
2. Privacy
Our Privacy Policy explains how we collect, use, and disclose information in connection with the Services and is incorporated into these Terms by reference.
3. The Services
Echoes helps users preserve personal and family stories through guided sessions, recordings, transcripts, AI-assisted story generation, chapter and timeline creation, reading and listening experiences, and related sharing tools.
We may add, remove, or modify features from time to time.
4. Accounts and Security
You are responsible for:
- providing accurate account information;
- maintaining the confidentiality of your login credentials;
- controlling access to your account and devices;
- all activity that occurs under your account, except to the extent caused by our failure to use reasonable security measures.
You must notify us promptly if you believe your account has been compromised.
5. Subscriptions, Payments, and Trials
Echoes may offer paid subscriptions, one-time purchases, gift purchases, trial sessions, or promotional offers.
If you purchase a subscription:
- you authorize us and our payment processor to charge the applicable fees, taxes, and renewal charges unless you cancel;
- subscription terms, billing cycles, and renewal details will be presented at checkout;
- except as required by law, fees are non-refundable once charged;
- you are responsible for applicable taxes.
If Echoes offers a free trial or limited trial session, additional trial-specific terms may apply and will be disclosed at the time of the offer.
6. Roles, Permissions, and Collaboration
Echoes may support storytellers, sponsors, and viewers or other participant roles.
Depending on product design, one or more participants may be allowed to:
- initiate sessions;
- edit story content;
- view recordings, transcripts, chapters, and timelines;
- share content;
- manage voice preferences or story settings.
You are responsible for understanding the permissions you grant to others when you invite them or share content with them.
7. Your Content
A. Ownership
You retain ownership of the text, recordings, photographs, transcripts, edits, and other materials you submit to Echoes ("User Content"), subject to the rights granted in these Terms.
B. License to Altauri
You grant Altauri a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, modify, format, transmit, and otherwise use your User Content solely as needed to:
- operate and provide the Services;
- create transcripts, summaries, chapters, story drafts, and related outputs;
- maintain backups and prevent data loss;
- debug, secure, and improve the Services internally; and
- comply with law and enforce these Terms.
We do not claim ownership of your User Content.
C. AI-generated output
As between you and Altauri, and subject to applicable law, you may use the story drafts, transcripts, summaries, titles, chapter content, and similar outputs generated for your Echoes project. Echoes may also include system templates, layouts, interface elements, and software that remain Altauri's property.
D. Your responsibilities
You are solely responsible for your User Content and represent that:
- you own it or have the necessary rights and permissions to provide it;
- providing it to Echoes and our use of it as described in these Terms will not violate any law or third-party rights;
- you have appropriate consent before uploading or sharing another person's story, image, voice, or personal information;
- you will not use Echoes to harass, impersonate, defame, exploit, or otherwise harm another person.
8. Prohibited Conduct
You agree not to:
- use the Services for unlawful, fraudulent, deceptive, or harmful purposes;
- upload content that infringes intellectual property, privacy, publicity, or other rights;
- attempt to gain unauthorized access to accounts, systems, or data;
- interfere with or disrupt the Services;
- scrape, copy, or reverse engineer the Services except as permitted by law;
- use Echoes to generate or distribute spam, malware, or abusive content;
- use another person's voice, likeness, or story without appropriate authorization;
- share sensitive personal data about others without permission.
9. Sharing and Public Links
Echoes may allow you to share content through invitations or links. Anyone with a shared link may be able to access the linked content, depending on the sharing settings.
Echoes may also offer optional protections for shared links, such as passcodes, expiration dates, or revocation controls. Where those controls are available, you are responsible for choosing and managing them appropriately.
You are responsible for the links you create, the people you invite, and the consequences of sharing content.
10. Beta Features and AI Limitations
Some Echoes features may be labeled beta, experimental, or early access.
You understand that:
- AI-generated outputs may contain errors, omissions, or imperfect wording;
- transcripts may be inaccurate;
- generated stories may require human review and correction;
- different users may have different expectations for tone, accuracy, and completeness.
Echoes is a storytelling tool, not a substitute for legal, medical, financial, genealogical, or archival advice.
11. Feedback
If you provide feedback, suggestions, or ideas about Echoes, you grant Altauri a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation to you.
12. Intellectual Property
The Services, including our software, branding, interface design, and underlying technology, are owned by Altauri or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you, Altauri reserves all rights.
13. Termination and Suspension
You may stop using Echoes at any time.
We may suspend or terminate access to the Services if:
- you violate these Terms;
- we reasonably believe your use creates risk, harm, or legal exposure;
- we are required to do so by law; or
- we discontinue the Services.
We may also remove or restrict access to content that we reasonably believe violates these Terms or applicable law.
14. Data Deletion and Export
Where functionality is available, you may be able to delete content, delete your account, or export your content. Deletion may not be instantaneous and may be subject to limited backup retention and legal obligations, as described in the Privacy Policy.
15. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. ALTAURI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not guarantee that:
- the Services will be uninterrupted, secure, or error-free;
- content will never be lost or corrupted;
- generated outputs will always be accurate, complete, or suitable for your intended purpose; or
- the Services will meet all of your expectations.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALTAURI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR CONTENT, ARISING OUT OF OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF ALTAURI FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO ALTAURI FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- USD $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply.
17. Indemnification
To the maximum extent permitted by law, you agree to indemnify and hold harmless Altauri and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, losses, and expenses arising out of or related to:
- your User Content;
- your violation of these Terms;
- your misuse of the Services; or
- your violation of another person's rights.
18. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles, except to the extent federal law applies.
19. Dispute Resolution
Before filing a formal claim, you and Altauri agree to try to resolve the dispute informally by contacting each other in writing and giving the other party at least 30 days to respond.
If a dispute is not resolved informally, you and Altauri agree that, to the maximum extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved through binding individual arbitration, except that either party may bring an eligible claim in small claims court and either party may seek injunctive or equitable relief in court for intellectual property infringement, misuse, or unauthorized access to the Services.
Any arbitration will be conducted by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules. Arbitration will take place in the United States, and the arbitrator will have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration agreement, except that a court may decide issues relating to the enforceability of the class action waiver below.
You and Altauri agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, coordinated, consolidated, mass, or representative proceeding, to the maximum extent permitted by law.
Where AAA consumer arbitration rules apply, Echoes is intended to follow the applicable consumer fee allocation rules of the AAA. If you initiate a consumer arbitration, your filing fee should not exceed the amount charged to consumers under the applicable AAA consumer rules, and Altauri will pay the remaining administrative fees and arbitrator compensation to the extent required by those rules.
If this arbitration section is found unenforceable as to a particular claim or request for relief, then that claim or request for relief will proceed in the state or federal courts located in Delaware, and you and Altauri consent to personal jurisdiction and venue there.
20. Changes to the Services or Terms
We may update the Services and these Terms from time to time. If we make material changes, we will post the updated Terms and update the effective date above. Your continued use of Echoes after the updated Terms become effective means you accept the changes, unless applicable law requires a different form of consent.
21. General
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any additional terms presented to you, form the entire agreement between you and Altauri regarding the Services.
